Christophe L. DiFalco, Esq., Co-Founder and Senior Partner: Mr. DiFalco is a co-founding partner of DiFalco & Fernandez. His practice focuses on general corporate advisory work, corporate securities, mergers and acquisitions, entity structuring (both internationally and domestic), board of director advisement, and all aspects of commercial real estate, with a wide-variety of companies from public entities to start-up ventures. Mr. DiFalco has been an advisor and represented a broad range of companies and venture groups, including, among others, Energy Brands, Inc. (Glaceau®), Town Sports International Holdings, Inc. (New York Sports Club), GE Corporate Finance, Citibank, N.A., Young Broadcasting Inc., Mediacom Communications Corp., Brazil Fast Food Corp., The Andalex Group, LLC, NewLineNoosh, Inc. (NLN Global), Eastport Operating Partners, LP, Radu Physical Culture, LLC, Paytient, LLC, and Aster Asset Management, S.A. He started his legal career as an Associate with Sonnenschein Nath & Rosenthal, LLP’s Corporate Law and Securities Group in New York, an international law firm with over 1,200 attorneys, and then worked as a Senior Associate at Donovan & Giannuzzi, LLP, a Corporate and Real Estate boutique firm in New York. Thereafter, Mr. DiFalco decided to establish DiFalco & Fernandez to work with his clients in a more focused environment, and specifically, to closely assist entrepreneurs and companies in order to develop and grow their ventures. Mr. DiFalco is also a principal of Seymour International, Inc., an Orlando, FL. based real estate investment company. In addition, Mr. DiFalco has separately been involved in numerous real estate developments/ investments as a principal. He received his J.D. from Benjamin N. Cardozo School of Law, and is a double major from Amherst College in (i) Law, Jurisprudence and Social Thought, and (ii) History.
Federico E. Fernandez, Esq., Co-Founder and Senior Partner: Prior to establishing DiFalco & Fernandez, Mr. Fernandez worked in the Corporate Practice Group of Greenberg Traurig PA, one of the largest law firms in the country. There, he participated in various cross-border corporate transactions, including the sale and leaseback of corporate assets, share purchases, joint ventures, and various forms of private equity and secured transactions. Prior to that, Mr. Fernandez was a Corporate Associate for Kelly, Drye & Warren LLP. During his tenure there, Mr. Fernandez worked in the firm’s Corporate and Intellectual Property Department, where he participated in representations, including the 1 billion dollar surety ship litigation suit Filed by Chase Manhattan against ENRON Corp., the multi-million dollar asset liquidation of Daimler Chryslers Avionics Division, and a trademark infringement representation filed by Bacardi U.S.A against European liquor conglomerate Pernod Ricard, among others. Mr. Fernandez earned his Juris Doctorate from the Emory University School of Law, and his Bachelor of Arts Degree from the University of Miami.
